Terms of Service

These Terms of Service ("Terms") govern access to and use of Broiler Base Mate (the "Service"), a poultry farm management software platform, provided by Appcovi (ABN 13 659 165 642) of 432 Wheat Road, Beaufort SA 5550, Australia ("Appcovi", "we", "us" or "our"). By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a business, you confirm that you have authority to bind that business, and "you" refers to that business.

1.Introduction

Broiler Base Mate is designed for broiler growers, farm operators, farm staff, poultry businesses, integrators, feed suppliers, equipment suppliers and related service providers to manage farm, shed, batch, feed, silo, mortality, weight and production information. These Terms, together with the Broiler Base Mate Privacy Policy, form the entire agreement between you and Appcovi regarding your use of the Service.

2.Your Account

You must provide accurate, current and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials, farm access links and QR tokens, and for all activity that occurs under your account. You must notify us promptly at appcovi2026@gmail.com if you suspect unauthorised access to your account. Accounts are intended for legitimate business use by you, your staff and other people you authorise; you are responsible for what those authorised users do within your account.

3.Free Trial

Broiler Base Mate is currently offered with a 30-day free trial. No payment is taken to start a trial. If you do not cancel before the trial ends and you have provided payment details, your selected plan will begin billing from day 31, in accordance with section 4 and section 5. Appcovi may retain or delete trial data in accordance with section 9 and the Broiler Base Mate Privacy Policy. Appcovi may change, limit or discontinue free trial offers at any time.

4.Paid Plans and Fees

Paid plans are billed monthly or annually according to the plan and billing frequency you select at checkout. Fees are shown in Australian dollars unless stated otherwise and are exclusive of GST unless stated otherwise. Subscriptions automatically renew at the end of each billing period unless cancelled beforehand in accordance with section 6. Appcovi may change plan pricing from time to time; changes will apply from your next renewal and, where required by law, we will give reasonable notice before a price increase takes effect on an existing subscription.

5.Payments

Payments are processed by Stripe, our payment provider. We do not store your complete card details; Stripe handles payment processing on our behalf. By subscribing, you authorise Appcovi (via Stripe) to charge your nominated payment method on a recurring basis for the plan you select, until you cancel. If a payment fails, we may retry the charge, suspend access in accordance with section 20, or take other reasonable steps to recover the amount owing.

6.Cancellation of Paid Subscriptions

You may cancel a paid subscription at any time via the Stripe Customer Portal link provided in your account or welcome email, or by contacting appcovi2026@gmail.com. Cancellation takes effect at the end of your current billing period; you retain access to the Service until then. Monthly plans are non-refundable for the remainder of a billing month once cancelled. Annual plans may be eligible for a pro-rata refund on unused months, less the monthly-equivalent value of months already used, at Appcovi's reasonable discretion. Nothing in this section limits your rights under the Australian Consumer Law.

7.Your Data

As between you and Appcovi, you own the data you or your authorised users enter into the Service, including farm, shed, batch, feed, silo, mortality, weight, delivery and reporting records ("Your Data"). Appcovi acts as a custodian of Your Data, not the owner. You may export Your Data at any time using the reporting and export tools within the Service. You grant Appcovi a licence to host, store, process, back up and display Your Data solely for the purposes of providing, securing, supporting and improving the Service. Unless a longer period is required by law, Your Data remains exportable for up to 90 days after cancellation or account closure, after which it may be permanently deleted in accordance with the Privacy Policy.

8.Artificial Intelligence and Machine Learning

Broiler Base Mate includes AI-assisted features such as feed docket scanning, scale/weight reading, chick counting, mortality sheet reading, and forecasting or production analysis. These features are provided as tools to reduce manual data entry and are not a substitute for your own judgment, processor or integrator requirements, veterinary advice, or independent verification. AI-generated outputs may be incomplete or inaccurate. You are responsible for reviewing AI-assisted outputs before relying on them for reporting, payment, compliance or operational decisions. Content you submit for AI processing is used only to provide the requested output for your account and is not knowingly used by Appcovi or its AI providers to train general-purpose models, consistent with those providers' published terms.

9.Personal Information and Privacy

Appcovi collects and handles personal information in accordance with the Broiler Base Mate Privacy Policy, available at broilerbasemate.com.au/privacy. If you enter personal information about a third party (for example, a farm worker) into the Service, you are responsible for ensuring you have any notices or consents required by applicable privacy or workplace law before doing so.

10.Acceptable Use

You must use the Service only for your own legitimate poultry farming and related business operations. You must not: attempt to bulk-scrape, reverse-engineer, decompile or resell the Service without a separate written agreement with Appcovi; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorised access to another farm's account or data; use the Service to breach any law; or upload content you are not authorised to upload. Appcovi may investigate suspected breaches of this section and take action under section 20 or section 21.

11.Third-Party Services

The Service relies on third-party providers including Stripe (payments), MongoDB Atlas (database hosting), the Emergent Integrations platform and Google Gemini (AI-assisted features), and email delivery providers for transactional communications. Appcovi is not responsible for outages, errors or changes caused by these third-party providers, but will use reasonable efforts to maintain equivalent functionality where a provider changes or becomes unavailable.

12.Availability and Service Changes

We target high availability on a best-effort basis but do not guarantee uninterrupted or error-free operation of the Service. The Service is provided "as is" and "as available". We may modify, update or discontinue features from time to time; where a change materially reduces core functionality of a paid plan, we will provide reasonable notice where practicable.

13.Support

Support is available by email at appcovi2026@gmail.com. We aim to respond to support requests within a reasonable timeframe but do not guarantee specific response or resolution times unless separately agreed in writing.

14.Intellectual Property

Appcovi and its licensors own all right, title and interest in the Service, including its software, design, trademarks (including "Broiler Base Mate") and documentation, excluding Your Data. Nothing in these Terms transfers any intellectual property in the Service to you.

15.Licence to Use Broiler Base Mate

Subject to these Terms and payment of applicable fees, Appcovi grants you a non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.

16.Feedback and Suggestions

If you provide feedback, ideas or suggestions about the Service, you agree that Appcovi may use them without restriction or obligation to you, including to improve the Service.

17.Confidential Information

Each party must take reasonable steps to protect the other's confidential information disclosed in connection with the Service and must not use or disclose it except as needed to perform obligations under these Terms, as required by law, or as otherwise agreed.

18.Warranties and Disclaimers

Except as expressly stated in these Terms or required by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that AI-assisted outputs, forecasts or calculations will be error-free or suitable for any particular decision.

19.Consumer Guarantees and Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. To the maximum extent permitted by law, and subject to those guarantees, Appcovi's total liability arising out of or in connection with the Service is limited, at Appcovi's option, to re-supplying the Service or refunding the fees you paid in the 12 months before the event giving rise to the claim. Appcovi is not liable for indirect, consequential or special losses, including loss of profits or loss of data, to the extent permitted by law.

20.Suspension and Restriction of Access

We may suspend or restrict your access to the Service if: your payment fails and is not resolved within a reasonable period; we reasonably believe you have breached section 10; we reasonably believe your account poses a security risk to the Service or other users; or as required by law. Where practicable, we will give notice before suspending access.

21.Termination

You may terminate your account at any time in accordance with section 6. Appcovi may terminate these Terms and your access to the Service for a material breach that is not remedied within a reasonable time after notice, or immediately for a serious breach, fraud, or unlawful use. After termination, Appcovi may delete Your Data in accordance with section 7 and the Privacy Policy.

22.Updates to these Terms

We may update these Terms from time to time to reflect changes to the Service, our practices, or applicable law. We will post the updated Terms on the Broiler Base Mate website and update the "Last updated" date above. Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms, subject to your rights under applicable law.

23.Dispute Resolution

If a dispute arises, you agree to first contact Appcovi at appcovi2026@gmail.com to attempt to resolve it informally and in good faith before pursuing other remedies, without limiting your statutory rights.

24.No partnership or agency

Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Appcovi.

25.Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Appcovi may assign these Terms in connection with a merger, acquisition, or sale of assets.

26.Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

27.Waiver

A failure by either party to enforce a right under these Terms is not a waiver of that right.

28.Entire agreement

These Terms, together with the Privacy Policy and any order or checkout confirmation, constitute the entire agreement between you and Appcovi regarding the Service, superseding any prior agreements on the same subject matter.

29.Notices

We may give notices to you via email, in-app notification, or by posting on the Broiler Base Mate website. You may give notices to Appcovi via the contact details in section 31.

30.Governing Law and Jurisdiction

These Terms are governed by the laws of South Australia, Australia. You and Appcovi submit to the non-exclusive jurisdiction of the courts of South Australia.
